These Terms & Conditions (“Terms”) are an agreement between you and Eco Bright Beam LLC (“EcoBrightBeam”, “we”, “us”). They apply when you use ecobrightbeam.com, create an account, request an estimate or buy products from us. By doing any of these, you agree to these Terms and to our Privacy Policy. If you don’t agree, please don’t use the site.
1. Who can use the site
You must be at least 18 years old to create an account or buy from us. If you use the site on behalf of a company, you confirm that you are authorized to accept these Terms for it, and “you” includes that company. We sell and ship only to addresses in the United States.
2. Your account
- Give us accurate, complete information and keep it up to date.
- Keep your password private. You are responsible for activity under your account; tell us right away if you think someone else has used it.
- We may suspend or close an account that breaks these Terms, gives false information or is used for fraud. Except in cases of fraud or misuse, we will give you notice first where that is practical.
3. Product information
We try to describe our products accurately, but most descriptions, specifications and images come from manufacturers and may change without notice. Colors, finishes and light output can look different in person than on screen. It is your responsibility to confirm that a product suits your project, including its voltage, dimensions, ratings (such as damp or wet location, IC or dimming compatibility) and local code requirements, before you order or install it.
4. Prices, estimates and quotes
- Any prices shown on the site are for information only and may change at any time without notice.
- Sending an estimate request is not an order and does not commit either of us to a sale. We review each request and reply with a quote.
- A quote shows the prices we expect to hold until the date stated on it, subject to availability and our confirmation. Accepting a quote sends us your order request; your order becomes binding only when we confirm it to you in writing (section 5). Until then we may correct or withdraw the quote, for example because of a supplier price change or a product that is no longer available. When we confirm your order, we honor the quoted prices.
- When you accept a quote, you also agree to these Terms and our Privacy Policy. Your quotes and order confirmations say so, and the quote page links to both.
- If a price, quote or invoice contains an obvious error, we may correct it. If the correction increases the price, we will ask you to confirm before going ahead, or cancel and refund anything you have paid.
5. Orders
An order becomes binding only when we confirm it to you in writing (for example, by email or invoice). Accepting a quote is your request to order, and we aim to confirm it within one business day. We may decline or cancel an order — for example if a product is unavailable, a price was wrong, we suspect fraud, or a product cannot lawfully be sold or shipped to your location — and we will refund anything you have paid for it. If the quote or invoice for your order includes its own terms, those terms apply to that order where they differ from these Terms. If you send us a purchase order that carries its own, different terms, ours apply (your quote and invoice first, then these Terms) unless we agree otherwise in writing.
6. Payment
- You agree to pay the amounts on your quote or invoice using a payment method we accept, such as card, check, Zelle or bank wire.
- Card payments are processed by Authorize.Net on its secure page. Any card processing fee is shown on the online payment page and in the payment emails before you pay, where the law allows one. It is not shown on invoices.
- Orders may need to be paid in full, or with a deposit, before we order or ship them, as stated on your quote or invoice. We order from suppliers and ship only after your payment has cleared; a check is not final payment until it clears, and a check that is returned unpaid may carry a returned-payment fee, as far as the law allows.
- If you think a card charge is wrong, please contact us first. We can usually fix it quickly. A card dispute is not a way to undo a valid order, and after a payment is returned or reversed we may ask you to pay another way.
- If you buy for business, an invoice that is not paid by its due date may carry the late-payment charges stated on the invoice, as far as the law allows.
- Protect yourself from payment fraud: we will never change our bank or payment details by email alone. If you receive a message asking you to pay a different account or use an unfamiliar payment link, call us to confirm before paying. Wire and Zelle payments are final once sent, so pay only the details shown on your invoice or payment page.
7. Sales tax
We charge sales tax where the law requires it. To buy tax-exempt, you must provide a valid exemption or resale certificate before we invoice you. You are responsible for the accuracy of your certificate and for any tax, interest or penalties that result if it is invalid, and we may bill you for tax we should have collected.
8. Shipping, pickup and delivery
- Delivery and ready-for-pickup dates are estimates, not guarantees. We are not responsible for delays caused by manufacturers, carriers or events outside our control. If we learn that your order will be materially late, we will tell you before the date we gave you whenever we can, and you may choose to wait for the new date or to cancel the delayed items and receive a prompt refund of what you paid for them.
- Large orders may arrive in more than one shipment, and some products ship directly from a manufacturer’s warehouse, so parts of your order can arrive on different days. Each shipment shows its carrier and tracking details when we have them. More is on our Shipping page.
- Ownership of, and risk of loss for, the products passes to you when they are delivered to you or picked up.
- Please inspect every delivery when it arrives. Note any visible damage on the carrier’s delivery receipt, and report damage, missing items or wrong items to us within 3 days of delivery, with photos or video. Manufacturers and carriers set short claim windows, and a late report may mean we cannot file a claim for you. That is why we ask for a quick report: it protects your claim, and it does not take away your legal rights.
- If damage or a defect is hidden and you only find it later, tell us as soon as you find it and we will help. Reporting after 3 days does not cancel your legal rights. If you buy for business, a report made after 3 days of damage that was visible on delivery may not be accepted.
9. Returns and cancellations
Return rules, time limits and any restocking fee are stated on your quote or invoice. Where they are not, these rules apply. Nothing in this section limits your legal rights. Every return needs our written approval before you send anything back; our approval shows the return address, the date to ship by and any fee. Our Returns page has the short version.
| Your situation | What to do | What happens | Return shipping |
|---|---|---|---|
| Damaged, wrong, missing or defective | Tell us within 3 days of delivery, with photos or video. If the problem is hidden, tell us as soon as you find it. | We repair, replace or refund. No restocking fee. | We pay |
| You changed your mind | Ask for the return within 20 days of delivery. After we approve it, ship the products back within 14 days. | Refund to your original payment method, or store credit plus a 3% bonus, minus the restocking fee (15% standard, up to 20% for some manufacturers; the percentage is on your quote). | You pay |
| Special-order, custom, cut-to-size, or marked “Special Order” or “Not returnable” on your quote | These can’t be cancelled once ordered from the manufacturer, and can’t be returned because you changed your mind. | If one arrives damaged, wrong or defective, the first row applies. | We pay if it was our error or a defect |
- Damaged, wrong, missing or defective products: tell us within 3 days of delivery, with photos or video (up to 4 files, plus a link if you have more). If the problem is hidden, tell us as soon as you find it. We will repair, replace or refund, whichever fits the problem, and we will talk it through with you. If the product has a manufacturer’s warranty process, we handle it with you and for you, and a manufacturer’s refusal does not take away your rights against us. We pay return shipping, and we refund any card processing fee you paid on the returned items. Discounts and free shipping on your order stay in place.
- Returns because you changed your mind: request the return within 20 days of delivery. After we approve it, ship the products back within 14 days, by the date shown in your approval. Products must be unused, uninstalled, in their original undamaged packaging and in condition to resell. You pay return shipping.
- Manufacturer rules: some manufacturers set their own return rules, such as accepting returns only in full cases or requiring a higher fee. We show these on your quote when they apply. When a rule is not workable for you, we can often ask the manufacturer to make an exception, such as accepting an opened case, and we will tell you the answer before you ship anything back. We will tell you where to send the return: it can be the warehouse that shipped your order or the nearest manufacturer warehouse, whichever is faster. If a manufacturer refuses or reduces a return after you have shipped it with our approval, we will not reduce your refund beyond the fee we showed you.
- Items that can’t be returned for a change of mind: special-order, custom and cut-to-size items, items marked Special Order or Not returnable on your quote, and items the manufacturer will not take back. They can’t be cancelled once ordered from the manufacturer. If one arrives damaged, wrong or defective, tell us within 3 days and we will make it right.
- Restocking fee: a restocking fee applies to the price of the products returned because you changed your mind; the percentage is shown on your quote. Our standard fee is 15%; some manufacturers require a higher fee, such as 20%, and we may agree a different fee with you in writing. The fee is taken from the price of the returned products only, never from shipping or the card processing fee, and never exceeds what you paid for them.
- Discounts that apply only to the whole order: if your quote says that a discount, free shipping, a coupon or promotional credit applies only if you keep the whole order, a partial change-of-mind return removes that benefit and the order is repriced. Your refund is what you paid, minus the full-price value of the products you keep, and never less than zero. No restocking fee is added when losing the discount already reduced your refund. Gifted, promotional and bonus store credit used on the order is treated like a coupon and is not given back; store credit that came from an earlier refund is returned to you as store credit. Example (tax and shipping left out): you buy 10 lights at a quoted $90 each ($900) with a discount that needs the whole order, then return 4 for a change of mind. The 6 you keep are repriced at the full $100 each ($600), so the refund is $900 − $600 = $300.
- Refunds: we refund after we receive and inspect the returned products, or after the manufacturer confirms it received them when they went straight to the manufacturer. For a change-of-mind return, you choose either a refund to your original payment method, or store credit with a 3% bonus; neither is chosen for you. If the return is for damage, a wrong item, a defect or a cancelled order, your money goes back to your original payment method if you prefer. The card processing fee is shown on the payment page and in the payment emails before you pay; if you paid by card, the fee is refunded in proportion to the amount we refund to your card. When the return is for damage, a wrong item or a defect, the fee is also refunded if you take store credit. If you change your mind and take store credit, the fee is not included in the credit.
Store credit
- Store credit that comes from a refund does not expire.
- The bonus credit added to a change-of-mind return expires on the date shown when it is issued, and in your account. Your credit email states that date.
- Store credit stays on your account, can be used on future orders with us, can’t be transferred, and is not paid out in cash except where the law requires it.
10. Warranties
Products are covered by their manufacturer’s warranty only, on the manufacturer’s terms. We will pass those warranties on to you and help you make a claim. EcoBrightBeam is not the manufacturer or the warrantor and does not make its own separate warranty on products. Ask us, or look at your quote, for a link to the manufacturer’s warranty for any product. Warranties generally don’t cover damage from improper installation, incorrect voltage or wiring, incompatible dimmers or controls, misuse, or use outside the product’s rated conditions.
Except for the manufacturer’s warranty and any warranty the law does not allow us to exclude, the site and products are provided “as is”, and we disclaim all other warranties, including the implied warranties of merchantability and of fitness for a particular purpose. See section 13 for how this applies to consumers.
11. Installation and safety
Lighting fixtures and electrical products must be installed by a qualified, licensed electrician in line with the manufacturer’s instructions and all applicable electrical and building codes. We do not install products. We do not promise that a product meets the electrical, building or energy code where you will use it, so please check with your electrician or inspector before you order. We are not responsible for loss or damage caused by installation or use that does not follow the manufacturer’s instructions or the applicable codes.
If you buy for business: you are responsible for permits, inspections and code compliance on your project, and for passing the manufacturer’s safety warnings and instructions to the people who install and use the products. To the extent the law allows, you will cover our reasonable losses from third-party claims caused by your installation, resale or misuse of the products. This paragraph does not apply to consumers.
12. Limitation of liability
To the fullest extent the law allows:
- If you buy for business use, our total liability for any claim relating to a product or order is limited to the amount you paid us for that product, and we are not liable for indirect, incidental, special or consequential losses, including lost profits, business interruption, or labor costs to remove or reinstall products.
- If you buy as a consumer, these limits apply only as far as the law allows (see section 13), and never to a loss the law says we cannot limit.
These limits do not apply to liability that cannot be limited by law, including death or personal injury, fraud, and gross negligence or willful misconduct.
13. Consumers
If you buy as a consumer for personal or household use, nothing in these Terms takes away any right you have under a law that cannot be waived by contract. For New Jersey consumers, the disclaimers in section 10 and the limits in section 12 apply only as far as New Jersey law allows, including the New Jersey Consumer Fraud Act and the Truth-in-Consumer Contract, Warranty and Notice Act. If any part of these Terms is, or may be, void, unenforceable or not allowed under the law of the place where you live, it does not apply to you to that extent, and the rest of the Terms stays in effect.
14. Using the site
Don’t misuse the site. That includes trying to access accounts or data that aren’t yours, interfering with the site’s security or operation, sending automated requests or scraping, placing false orders, or uploading anything unlawful or harmful. If you break these Terms or misuse the site, you are responsible for the reasonable losses we suffer because of it, as far as the law allows.
15. Our content and trademarks
The site’s content, design and the EcoBrightBeam name and logo belong to us or our licensors. We are an independent reseller of products made by others. Product names, images and trademarks belong to their manufacturers, are used here only to identify their products, and do not mean that the manufacturer endorses this site. You may use the site for your own purchasing, but you may not copy or reuse its content for other purposes without our written permission.
16. Other websites and services
The site links to, or relies on, services run by others, such as our payment processor and manufacturers’ websites. We are not responsible for their content or practices; their own terms apply.
17. Governing law and disputes
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law rules. If a dispute arises, please contact us first so we can try to resolve it informally; we will do the same. If we can’t resolve it within 30 days, either of us may bring a claim in the state or federal courts located in New Jersey, and we both agree to those courts’ jurisdiction. This does not stop a consumer from bringing a claim in a court where the law gives them the right to do so. Either of us may also use small-claims court.
18. Events outside our control
We are not responsible for delays or failures caused by events beyond our reasonable control, such as manufacturer or supply shortages, carrier delays, natural disasters, power or internet outages, failures of services we rely on (such as hosting, email or payment providers), or government action.
19. Changes to these Terms
We may update these Terms. The new version will be posted here with a new effective date and applies to orders placed and use of the site after that date. A quote you have accepted and an order we have confirmed stay under the Terms in effect on that date. Earlier versions are available on request. For significant changes, we will also tell account holders by email or on the site.
20. General
- These Terms, our Privacy Policy and Cookie Policy, and your quotes and invoices are the whole agreement between us about their subject.
- If any part of these Terms is found unenforceable, the rest stays in effect.
- If we don’t enforce a right straight away, we don’t give it up.
- You may not transfer your rights under these Terms without our consent. We may transfer ours to a successor business.
21. Electronic communications and signatures
You agree that we may send you quotes, invoices, return approvals, store-credit notices and other notices by email and through your account, and that these count as written notices. Your electronic acceptance of a quote or of these Terms, for example by clicking an acceptance button, has the same effect as your signature. You can ask us for a paper copy of any document, withdraw this consent, or update your email address at any time by contacting us; if you withdraw consent we may not be able to keep your online account open. You need a current web browser and a PDF reader to open our documents, and you should keep your email address up to date.
